Software License Agreement

This Software License Agreement (this “License”) is made between the licensor (the “Licensor,” “we,” “us”) and you (the “Licensee,” “you”). The Licensor develops and operates the search application distributed under the name lifesearchplace (the “Application”) and the platform and features delivered through it (the “Platform”). This License, read together with our Privacy Policy, sets the conditions under which the Application and Platform may be used.

This License is a binding electronic contract. By downloading, installing, or using the Application, you represent that you are at least thirteen (13) years of age, that you have read and understood this License, and that you accept it together with all applicable laws and regulations. You also acknowledge that this License requires the resolution of disputes through arbitration and includes a waiver of class-action rights, each described in Section H below. If you do not accept these conditions, you are not permitted to use the Platform.

A. License Grant

The Application allows you to personalise your browsing and modifies your browser’s search configuration. Conditioned on your compliance with this License, the Licensor grants you a limited, revocable, non-exclusive, non-transferable, and royalty-free license to use the Platform for your own personal, non-commercial purposes on a single device that you own or control.

B. Restrictions

You will use the Platform in accordance with all applicable laws and standards, and you shall not:

  1. defeat, disable, or otherwise interfere with any security-related feature of the Application or Platform;
  2. reproduce, sell, lease, share, sublicense, or distribute the Application or Platform;
  3. modify, translate, reverse engineer, decompile, disassemble, or attempt to obtain the Application’s source code;
  4. remove, obscure, or alter any copyright, trademark, or proprietary notice;
  5. access the Platform through any automated means, including robots, spiders, crawlers, or scrapers; or
  6. use the Platform for any unlawful, fraudulent, or infringing purpose.

The Licensor may, in its sole discretion and without prior notice or liability, limit, suspend, or discontinue any portion of the Platform at any time.

C. Intellectual Property

Save for the limited license expressly granted above, the Licensor reserves all rights in the Platform, including all derivatives, enhancements, and associated intellectual property. All trademarks, service marks, and trade names presented through the Platform are the property of the Licensor or of their respective holders.

D. Third-Party Content

The Platform may present content or links owned by third parties (“Third-Party Content”), which is governed by the applicable third party’s terms. The Licensor does not monitor or endorse Third-Party Content, makes no representation as to its accuracy or legality, and may remove it at any time. You access Third-Party Content solely at your own risk and waive any related claim against the Licensor.

E. Updates and Upgrades

The Licensor may, at its discretion, supply and install automatic updates or upgrades to the Platform, which you agree to receive without prior notice. Where an update contains a material change, the Licensor will use reasonable efforts to notify you. The Licensor is under no obligation to release any update or new version.

F. Warranty Disclaimer and Limitation of Liability

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis without warranty of any kind. The Licensor disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant uninterrupted or error-free operation. The entire risk arising from your use of the Platform rests with you.

To the fullest extent permitted by law, neither the Licensor nor its officers, employees, licensors, or affiliates shall be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages — including lost profits, lost data, loss of goodwill, or business interruption — arising from your use of or inability to use the Platform, even if advised of the possibility of such damages. In any event, the Licensor’s total aggregate liability shall not exceed the amount paid by you for the Platform. Your sole remedy is to discontinue use and uninstall the Application.

G. Indemnification

You shall indemnify, defend, and hold harmless the Licensor and its directors, officers, employees, and affiliates from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform or your breach of this License. You are solely responsible for your conduct while using the Platform.

H. Term, Termination, and Dispute Resolution

This License is effective from the date you accept the Application and continues until terminated. You may terminate it at any time by uninstalling the Application through your browser’s standard removal process. The license and this License terminate automatically, without notice, upon any breach by you, and the Licensor may otherwise suspend or discontinue the Platform at any time, with or without cause.

Before commencing any formal proceeding, please contact us so we may attempt to resolve the matter informally. Failing that, you and the Licensor agree that any dispute shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA). By accepting this License, both parties waive any right to a jury trial and to participate in any class or representative action; all claims must be brought individually. This provision survives termination. To opt out of arbitration, deliver to the Licensor a written statement of that election including your full name and residential address (an “Opt-Out Declaration”). This License is governed by the laws of the State of New York, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, and you consent to the exclusive jurisdiction of the state and federal courts located in Manhattan, New York. Any claim relating to the Platform must be filed within one (1) year of the event giving rise to it, after which it is permanently barred.

I. Amendments

The Licensor may revise this License at any time. Revisions take effect on publication, and the revision date above reflects the current version. Your continued use of the Platform after any revision constitutes acceptance of the amended terms, so please review this page from time to time.
